Welcome to Nile Strategy Partners (“Nile Strategy Partners,**” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, consulting services, research offerings, strategic deliverables, frameworks, and all related materials (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

1. Use of Services

You may access and use our Services solely for lawful business purposes and strictly in accordance with these Terms. You agree not to:

  • Copy, reverse engineer, distribute, or misuse any analytical frameworks, reports, tools, or proprietary content

  • Reproduce any part of the Services for resale, sublicensing, commercial redistribution, or competitive analysis

  • Interfere with the operation or integrity of the Services

Nile Strategy Partners reserves the right to suspend or terminate access at any time if misuse or unauthorized use is detected.

2. Professional Services

All consulting and advisory services provided by Nile Strategy Partners are based on industry expertise, available data, and information supplied by the client.

You acknowledge and agree that:

  • Our Services do not constitute legal, tax, accounting, or investment advice

  • Strategic recommendations are advisory in nature and require client judgment, implementation, and validation

  • Business decisions and outcomes remain exclusively the responsibility of the client

Nile Strategy Partners disclaims any liability for decisions made or actions taken based on our work product.

3. Intellectual Property & Proprietary Methodologies

All intellectual property developed, used, or provided by Nile Strategy Partners—including but not limited to methodologies, models, analytical tools, the Policy-to-Market Framework™, research processes, diagnostic assessments, strategy architectures, technical schematics, workflow systems, and all written or digital deliverables—is and shall remain the exclusive property of Nile Strategy Partners.

Clients are granted a limited, non-exclusive, non-transferable, revocable license to use finalized deliverables for internal business operations only.

You expressly agree that:

  • No proprietary methodology or framework may be copied, reproduced, adapted, disclosed, or repurposed outside the scope of the engagement

  • You may not use our frameworks to create derivative works, competitive products, or internal systems that mimic or replace our proprietary tools

  • All interim work products, drafts, background IP, and conceptual models remain owned solely by Nile Strategy Partners

  • Any unauthorized use constitutes a material breach and may result in immediate termination and pursuit of legal remedies

This protection mirrors the standard approach used by top-tier consulting firms to safeguard intellectual capital.

4. Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information shared during the engagement.

Nile Strategy Partners protects client information using commercially reasonable administrative, technical, and organizational safeguards consistent with leading professional-service standards.

This section survives termination of the engagement.

5. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Nile Strategy Partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of revenue, profits, data, or business opportunities

  • Our total aggregate liability arising from or related to the Services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim

  • All Services are provided on an “as is” basis and outcomes depend on client implementation, market conditions, and external factors beyond our control

These limitations reflect industry-standard risk allocations used by leading consulting organizations.

6. Modifications to Terms

Nile Strategy Partners may update or modify these Terms at any time. Updates will be posted publicly, and continued use of the Services constitutes acceptance of the revised Terms.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the state in which Nile Strategy Partners is headquartered, without regard to conflict-of-law provisions.
